NY Times April 29, 2009 Calpers to Oppose Re-election of Bank of America BoardThe California Public Employees' Retirement System has announced that it will vote against the re-election of all 18 directors of Bank of America, including its chairman and chief executive, Kenneth D. Lewis, at the bank's annual meeting on Wednesday. The pension fund, known as Calpers, said it was voting against the bank's board because Mr. Lewis and other directors had failed to disclose the billions of dollars in losses at Merrill Lynch before Bank of America completed its acquisition of the securities firm on Jan. 1. The fund also argued that the bank's board should be ousted because of the undisclosed payment of billions of dollars in bonuses to Merrill Lynch executives in December before the takeover was completed. "The entire board failed in its duties to shareowners and should be removed," Rob Feckner, the president of the Calpers board, said in a statement. Calpers said that Bank of America directors allowed more than $3.6 billion in bonuses to be paid to Merrill Lynch executives and that the payment date was stepped up several months. It said that if the board was removed, a special election should be called to replace the directors. Calpers, the nation's largest pension fund, said it owned 22.7 million Bank of America shares, or roughly 0.3 percent of the outstanding common stock. Bank of America's annual shareholders meeting will be held at its headquarters in Charlotte, N.C. On Monday, Calstrs, the California State Teachers' Retirement System, said it was voting its 23 million shares against Mr. Lewis and the rest of the bank's directors. A preliminary survey of shareholders by the CtW Investment Group, which represents union pension funds and opposes Mr. Lewis, found that a significant percentage believe he should lose his board seat.

Maine panel endorses gay marriages AUGUSTA, Maine — A same-sex marriage bill is going to the Maine Senate and House with a strong committee endorsement. Eleven of the 14 Judiciary Committee members voted Tuesday to pass the bill, while two voted against it and one proposed sending it to voters in a November referendum. Gov. John Baldacci remains undecided. Supporters said the bill corrects an inequality that's long existed in Maine law, while one of the opponents pointed to overwhelming constituent opposition to the bill. Republican Sen. David Hastings of Fryeburg said he prefers sending a straightforward question to voters. The committee session was interrupted by an outburst by a protester, who shouted that the bill is morally wrong. She was escorted by police from the State House.
